Legal Terms of Budget Acceptance
1. Purpose of the Assignment and Entry into Force
This document establishes the conditions under which the post-production work of the audiovisual project will be carried out, in accordance with the attached budget on the first page (hereinafter, the "Budget"). The effective date shall be from the signing of this document, and its initial duration shall last until final delivery of the materials.
2. Budget Acceptance
By signing the Budget, the Client agrees that it forms an integral part of this service agreement. Acceptance of the Budget implies acceptance of the terms and conditions described herein.
3. Delivery Deadlines
The delivery deadlines for post-production products and services will be specified in an agreed schedule. Any changes to these deadlines must be mutually agreed upon.
4. Modifications
Any modification to the scope of the Project, technical specifications, or any other relevant aspect must be requested in writing and may result in a Budget adjustment. Reasonable and sufficient time must be allowed for the communication and execution of modifications in order to agree on changes.
5. Payments
The Client agrees to make payments in accordance with the deadlines and conditions set out in the Budget. In the event of payment delays, the post-production service provider reserves the right to suspend work until the corresponding payment is received and to take any possible legal action to protect its interests.
6. Payment Default
In case of non-payment by the Client, the post-production service provider shall have the right to terminate the contract and demand payment for the work performed up to the date of the default, as well as for any damages incurred.
7. Data Protection
Both parties agree to comply with the provisions of Organic Law 3/2018 on the Protection of Personal Data and Guarantee of Digital Rights (LOPDGDD) and the General Data Protection Regulation (GDPR), or any other applicable regulations relevant to the provision of services described herein.
8. Intellectual Property Rights
The post-production service provider guarantees that all produced material will be original and will not infringe upon third-party intellectual property rights. The intellectual property rights of the produced material will be transferred to the Client once full payment of the Budget has been completed.
9. Credits
Provided that the services to be rendered by the Provider have been satisfactorily completed and in accordance with applicable legislation, the Provider shall be entitled to have its name appear in the credits of the Film, as well as those of designated workers, according to the nature of their work and in the order, size, and placement determined by the Production Company.
11. Confidentiality
Both parties agree to maintain the confidentiality of all information and materials related to the Project, unless expressly authorized in writing by the other party.
12. Liability
The post-production service provider shall not be liable for indirect, special, or consequential damages arising from breach of this contract, except in cases of willful misconduct or gross negligence.
13. Applicable Law and Jurisdiction
This contract shall be governed by the laws of Spain, and any dispute shall be submitted to the jurisdiction of the courts of Barcelona.
